GANTTPRO AFFILIATE PROGRAM POLICY

This Affiliate Policy (“Policy”) contains the terms and conditions that apply to your participation as an affiliate (“you” or “Affiliate”) in GanttPRO Affiliate Program (“Company Affiliate Program”), developed by DPM Solutions Sp. z o.o. (the “Company”), by using the Affiliate functionality of the website https://payproglobal.com. Affiliate acknowledges that it may participate in the Company Affiliate Program only under the terms and conditions set forth below. By applying and participating in Company Affiliate Program, you’re agreeing to be bound by this Policy. Company may immediately terminate your participation in the Company Affiliate Program if it determines you are in violation of any of the conditions contained in this Policy.

  1. Definitions:

    1. “Advertising” or “Advertisements” means any and all advertisements (including, without limitation, banner or box-style advertisements, pop-up or pop-under placements, text links or other similar solicitations through the Internet) that promote Product and that contain a Link to the Company Site.
    2. “Affiliate” means any person or entity that has submitted an Affiliate Program Application and has been accepted for participation in the Company Affiliate Program in accordance with the terms of this Policy.
    3. “Product” means each Company product, good or service currently offered on the Company Site, which currently consists of project management software based on Gantt charts, and any Company product, good or service as may be offered at a future date on the Company Site.
    4. “Company Site” means the Company internet site currently located at https://ganttpro.com or any page, section, subsection or subdirectory thereof, and any other additional, substitute or successor site that may be designated by Company under this Policy.
    5. “Customer” means any person or entity who successfully purchases Product from the Company Site using an Affiliate Link and through such Link provides a valid email address and valid credit card information to facilitate such purchase via the Company Site, and provided that the person or entity has not previously purchased right to use the Product through the Company Site.
    6. “Website(s)” or “Your Website(s)” means any and all internet sites that you own, operate or otherwise control.
  2. Appointment:

    1. We hereby appoint You to advertise and promote Product by using your GanttPRO Affiliate ID related to PayPro Global Account on the website https://payproglobal.com.
    2. The design and details of Product that shall be advertised and promoted by You, shall be according to the description as stated on the website https://ganttpro.com.
    3. We hold all right, title and interest in any copyrights, patents, trade secrets and any other Intellectual Property Rights in the Product . Nothing in this Policy shall be construed to convey any title or ownership rights in the Product to You.
  3. Commissions and payment terms:

    1. Commissions and payment terms are not the subject of this Policy.
    2. Affiliate receives from PayPro Remuneration for Customer purchases for the Product on the basis of the agreement concluded between Paypro and Affiliate.

      The applicable Affiliate Remuneration rate is not the part of this Policy and is determined for each particular Affiliate and is shown in the admin panel in your PayPro Global Affiliate Admin Account on the website https://payproglobal.com.

    3. The terms of payment are defined in the agreement between Affiliate and PayPro.
    4. Company does not control PayPro and is not responsible for any activity by PayPro.
  4. Obligations:

    1. Our Obligations. We shall:
      1. Provide you an instruction of how to receive Affiliate ID and how to get affiliate link based on given Affiliate ID.
      2. Allow you to post or link to Our Marketing Materials on Your website and/or in Links sponsored by You, in accordance with the terms of this Policy.
      3. Provide you with Marketing Materials if required.
      4. Make demo presentations for your customers and for you if required.
    2. Your Obligations. You shall:
      1. Advertise and promote the Product using Our Marketing Materials, in accordance with this Policy.
      2. Maintain the integrity of all Our Marketing Materials and not change, adapt, reword or alter in any manner the content thereof without Our prior written consent.
      3. Place banners or links within Your newsletters, in the content of Your Website, and within other web-related content, with our prior written consent. Notify Us immediately of any unauthorized use of any of Our Marketing Materials posted on Your website.
      4. Pay all taxes, duties, governmental charges and other like charges.
      5. Refrain from posting any of Our Marketing Materials on any hate sites, adult sites hate, or other related sites that host content in violation of law.
      6. Refrain from associating Our Marketing Materials with content that is unlawful in any manner, or which is otherwise harmful, threatening, defamatory, obscene, offensive, harassing, sexually explicit, violent, discriminatory, or otherwise objectionable in Our sole discretion.
      7. Refrain from sending unsolicited communications, junk email, spam or other forms of duplicative or unsolicited messages to Leads or otherwise to engage in any other form of mass electronic communications prohibited by law in connection with activities contemplated under this Policy.
      8. Refrain from promoting the product through search campaigns on Google AdWords, Yahoo search, Microsoft Bing, Yandex, Naver or any other search network platform.
      9. Refrain from promoting the product through any kind of Pay Per Click Advertising platforms.
      10. Refrain from claiming you are employed by GanttPRO, acting on behalf of Future Hosting or make any other similar claims.
      11. You shall replace any Advertising displayed on your Website(s) with any new Advertising provided by Company within three (3) days after receiving notice from Company of the new Advertising. You shall not modify any confirmed Advertisement in any way.
      12. Your Website(s) shall not in any way copy or resemble the look and feel of the Company Site, nor shall you create the impression that your Website(s) is the Company Site or a part of the Company Site. You shall not use the name of the Company or the Company Site or any variation or misspellings thereof in your URL. You shall not frame or permit the framing of any page of the Company Site.
      13. You will not disparage Company, the Company Site or the Product, or portray any of these in a derogatory or negative manner.
      14. You shall not provide any Advertisement to any third party, sub affiliate or agent (“Agent”) without the written permission of Company.
      15. Resellers, sub-licensors, distributors are prohibited from acting as Affiliates, including using Affiliate links for this.
      16. Affiliates may not enter into contracts on behalf of GanttPRO or sell and resell subscriptions or Service updates.
      17. Affiliates are prohibited from using an Affiliate link to refer users who have previously purchased a license.
      18. Affiliates are prohibited from using the affiliate program to promote their own accounts, their employers, or any company to which they are directly associated for the purpose of purchasing a license through the affiliate program. This includes, but is not limited to, using affiliate links for personal license purchases, purchases by their employer, or purchases by companies in which the affiliate has a financial interest or operational role.
  5. Ongoing Compliance

    Affiliate’s continuing compliance with this Policy is a condition of continuing participation in the Company Affiliate Program. Company reserves the right to review and audit Affiliate’s Website(s) from time to time to determine if Affiliate is in continued compliance with this Policy. Affiliate’s Website(s) must be and remain fully functional.
  6. Modification

    Company may modify any of the terms and conditions contained in this Policy at any time in our sole and absolute discretion. Your continued participation in the Company Affiliate Program will constitute binding acceptance of the change or new Policy, as applicable.
  7. Enrollment

    To begin the enrollment process, you must submit a complete and accurate Affiliate Program Application.

    You must identify your Website(s) in your application. We will evaluate your application and notify you of its acceptance or rejection. We may reject your application if we determine that your Website(s) is/are unsuitable. Unsuitable sites include, without limitation, sites that:

    1. promote or contain sexually explicit materials;
    2. promote violence or contain violent materials;
    3. promote or contain libelous or defamatory materials;
    4. promote discrimination, or employ discriminatory practices, based on race, sex, religion, nationality, disability, sexual orientation, or age;
    5. promote or undertake illegal activities;
    6. include any trademark of the Company or its affiliates, or a variant or misspelling of a trademark of the Company or its affiliates, in any domain name, subdomain name, or in any username, group name, or other identifier on any social networking site; or
    7. otherwise violate any intellectual property rights.

    If we reject your application, you are welcome to reapply at any time. However, if we accept your application and we later determine that your Website(s) is unsuitable, we may immediately terminate your participation in the Company Affiliate Program.

  8. Relationship of Parties

    Affiliate and Company are independent contractors, and nothing in this Policy will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship, or the relationship of principal and agent between the parties. Affiliate will have no authority to make or accept any offers or representations on Company’s behalf. Affiliate will not make any statement, whether on the Affiliate’s Website(s) or otherwise, that reasonably would contradict anything in this section. Affiliate, as an independent contractor, will have sole responsibility for its expenses, taxes, employees, sales representatives and agents, and shall indemnify Company to the extent that the Company incurs any liability with respect to the foregoing items.

  9. Public Announcements

    Affiliate may not make any public announcement or press release about participation in the Company Affiliate Program without Company’s prior written approval and consent.

  10. Acknowledgement

    By applying for the Company Affiliate Program, you acknowledge that you are agreeing to be bound by this Policy to the same extent as if you had personally signed this document.
